Terms of Service

Welcome to Conduit. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Conduit for Contractors LLC ("Conduit," "we," "us," or "our"). These Terms govern your access to and use of the Conduit platform, including our website, mobile applications, APIs, and all related services (collectively, the "Service").

PLEASE READ THESE TERMS CAREFULLY. BY CREATING AN ACCOUNT, ACCESSING, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

1. Acceptance of Terms

By creating an account, clicking "I Agree," or otherwise accessing or using the Service, you represent and warrant that:

  • You are at least 18 years of age (or the age of majority in your jurisdiction).
  • You have the legal capacity and authority to enter into a binding agreement.
  • If you are using the Service on behalf of a company, organization, or other entity ("Organization"), you have the authority to bind that Organization to these Terms, and "you" and "your" refer to both you individually and the Organization.
  • Your use of the Service will comply with all applicable federal, state, local, and international laws and regulations.

If you do not agree to any part of these Terms, you must immediately discontinue use of the Service and delete your account. Your continued use of the Service following any modifications to these Terms constitutes your acceptance of the revised Terms.

2. Description of Service

Conduit is a cloud-based field service management platform designed for contractors and service businesses. The Service provides tools for:

  • Customer relationship management (CRM)
  • Job scheduling, dispatching, and tracking
  • Bid and estimate creation and management
  • Invoice creation, delivery, and tracking
  • Online payment collection via Stripe Connect
  • Team management, time tracking, and role-based permissions
  • Project specifications and document management
  • Financial reporting and analytics
  • Real-time messaging and communication
  • AI-powered business assistance
  • Third-party integrations (e.g., Google Calendar)

We reserve the right to modify, enhance, or discontinue any features of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes that affect your use of the Service.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing a valid email address, your full name, and a secure password. You must also verify your email address before gaining full access to the Service.

3.2 Accuracy of Information

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. We reserve the right to suspend or terminate accounts that contain false, misleading, or outdated information.

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials (including your password and any API tokens) and for all activities that occur under your account, whether or not authorized by you. You must immediately notify us at support@conduitforcontractors.com if you become aware of any unauthorized use of your account or any other breach of security.

3.4 Account Types and Roles

The Service supports two primary account types: Company Owners and Team Members (Technicians). Company Owners have full administrative control over their company account, including the ability to invite and remove team members, manage billing, and configure settings. Team Members have access to features determined by the permission level set by their Company Owner. Each User is responsible for the actions taken under their role.

3.5 One Account Per Person

Each individual may maintain only one account. Creating multiple accounts to circumvent restrictions, abuse free trials, or for any other purpose is strictly prohibited and grounds for immediate termination.

4. Subscription, Billing, and Payments

4.1 Subscription Plans and Pricing

The Service is offered on a subscription basis. Current pricing is $35 per active user per month, billed monthly. "Active user" means any team member with an active account within your Organization. Pricing is subject to change; see Section 4.5 for details.

4.2 Free Trial

New Company Owner accounts receive a 30-day free trial with full access to all Service features. No payment method is required during the trial period. At the end of the trial, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, your access will be restricted to read-only mode for 30 days, after which your account may be suspended.

4.3 Billing and Auto-Renewal

Subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date. Your payment method will be charged at the beginning of each billing period based on the number of active users in your account. Subscription fees are non-refundable except as expressly stated in our Refund Policy.

4.4 Proration

When team members are added or removed mid-cycle, your subscription will be prorated accordingly. Adding users will result in a prorated charge for the remainder of the billing period. Removing users will result in a prorated credit applied to your next invoice.

4.5 Price Changes

We reserve the right to change our pricing at any time. We will provide at least 30 days' advance notice of any price increase via email to the address associated with your account. Price changes will take effect at the start of the first billing cycle after the notice period. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

4.6 Failed Payments

If a payment fails, we will attempt to charge your payment method again and notify you by email. If payment cannot be collected after multiple attempts, your subscription may be suspended or downgraded. You remain responsible for any outstanding charges.

4.7 Taxes

Subscription fees are exclusive of all applicable taxes, levies, and duties. You are responsible for paying all taxes associated with your use of the Service, excluding taxes based on Conduit's net income.

5. Payment Processing (Stripe Connect)

5.1 Third-Party Payment Processor

The Service integrates with Stripe, Inc. ("Stripe") to enable you to accept payments from your customers through Stripe Connect. Stripe's processing of payments is subject to the Stripe Services Agreement and the Stripe Connected Account Agreement. By enabling payment processing through the Service, you agree to be bound by Stripe's terms as they may be modified from time to time. We are not a party to the payment transaction between you and your customers.

5.2 Platform Fee

A platform fee is applied to payments processed through your Stripe Connect account via the Service. Credit and debit card payments are subject to a 1% platform fee. ACH bank transfer payments are subject to a flat $1.00 platform fee. These fees are in addition to standard Stripe processing fees (which are set by Stripe and are subject to change). Platform fees are deducted automatically at the time of payment processing.

5.3 Chargebacks, Disputes, and Refunds

You are solely responsible for all chargebacks, disputes, refunds, and reversals related to payments you collect through the Service. Conduit is not liable for any losses arising from payment disputes between you and your customers. You agree to cooperate with Stripe and Conduit in responding to any chargeback or dispute inquiries.

5.4 Payout Schedule

Payouts to your bank account are managed by Stripe according to their standard payout schedule and policies. Conduit has no control over payout timing, holds, or delays imposed by Stripe.

5.5 Identity Verification

To comply with financial regulations, Stripe may require you to provide identity verification information (e.g., legal name, date of birth, Social Security Number or EIN, bank account details). This information is collected and processed directly by Stripe. Conduit does not store or have access to your sensitive financial identity information.

5.6 No Financial Advice

The Service provides tools for managing invoices and collecting payments but does not constitute financial, tax, legal, or accounting advice. You are responsible for ensuring your billing practices comply with all applicable laws and regulations, including tax collection and reporting requirements.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service for any purpose that is illegal or prohibited by these Terms.
  • Use the Service to process payments for illegal goods, services, or activities.
  • Violate any applicable federal, state, local, or international law or regulation.
  • Infringe upon the rights of others, including intellectual property, privacy, or contractual rights.
  • Transmit any material that is defamatory, obscene, threatening, abusive, or hateful.
  • Upload or transmit viruses, malware, ransomware, or any other malicious code.
  • Attempt to gain unauthorized access to the Service, other users' accounts, or our systems and networks.
  • Interfere with, disrupt, or place an unreasonable burden on the Service or its infrastructure.
  • Use automated tools, bots, scrapers, or similar technology to access or extract data from the Service without our prior written consent.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service.
  • Resell, sublicense, lease, or redistribute the Service or any part thereof without our prior written consent.
  • Create a competing product or service using information obtained from the Service.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
  • Use the Service to send unsolicited commercial communications (spam) to your customers.
  • Circumvent, disable, or otherwise interfere with security-related features of the Service.
  • Use the Service in any manner that could damage, disable, overburden, or impair the Service.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including without limitation removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

7. Your Data and Content

7.1 Ownership

You retain all ownership rights to the data, content, and information you submit to or create through the Service ("Your Data"), including but not limited to customer records, invoices, bids, job details, financial records, photos, documents, and communications. Conduit does not claim ownership of Your Data.

7.2 License Grant

By using the Service, you grant Conduit a limited, non-exclusive, worldwide, royalty-free license to use, store, process, reproduce, and display Your Data solely as necessary to provide, maintain, and improve the Service. This license terminates when you delete Your Data or your account, except for data retained in backups or as required by law.

7.3 Aggregate and Anonymized Data

We may collect and use aggregated, anonymized, or de-identified data derived from Your Data for purposes such as analytics, benchmarking, service improvement, and industry research. Such aggregate data will not identify you or any individual and is not considered Your Data.

7.4 Data Responsibility

You are solely responsible for:

  • The accuracy, quality, and legality of Your Data and the means by which you acquired it.
  • Ensuring that Your Data does not violate any applicable laws, regulations, or third-party rights (including privacy rights of your customers).
  • Obtaining all necessary consents from your customers before storing their personal information in the Service.
  • Maintaining your own independent backups of Your Data.
  • Complying with all applicable data protection and privacy laws, including the collection and processing of your customers' personal information.

7.5 Data Loss

While we implement reasonable security measures and maintain regular backups, we are not liable for any loss, corruption, or unauthorized access to Your Data. You acknowledge that no method of electronic storage or transmission is 100% secure.

7.6 Data Portability

Upon request, we will make reasonable efforts to provide you with an export of Your Data in a commonly used format. After account termination, we will retain Your Data for up to 30 days to allow for data export, after which it may be permanently deleted.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including all software, code, algorithms, designs, user interfaces, text, graphics, logos (including the Conduit name and mark), icons, images, audio, documentation, and all other content and materials made available through the Service (collectively, "Conduit IP"), are the exclusive property of Conduit or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes. This license does not include the right to: (a) modify, copy, or create derivative works of the Service; (b) license, sell, resell, transfer, or distribute the Service; (c) use the Service for the benefit of any third party; or (d) access the Service for competitive analysis or benchmarking purposes.

8.3 Trademarks

Conduit, "Conduit for Contractors," and all related names, logos, product and service names, designs, and slogans are trademarks of Conduit or its affiliates. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans used in the Service are the trademarks of their respective owners.

8.4 Feedback

If you provide us with any feedback, suggestions, ideas, or recommendations regarding the Service ("Feedback"), you hereby assign to Conduit all rights, title, and interest in such Feedback. We are free to use Feedback for any purpose without compensation or attribution to you.

9. Third-Party Services and Integrations

The Service may integrate with or contain links to third-party services, websites, or applications ("Third-Party Services"), including but not limited to Stripe, Google Calendar, and cloud storage providers. Your use of Third-Party Services is governed by their respective terms and privacy policies. We do not control, endorse, or assume any responsibility for Third-Party Services, and your interactions with Third-Party Services are solely between you and the third party.

We are not liable for any damages or losses caused by or in connection with your use of Third-Party Services. The availability of integrations does not imply endorsement or affiliation with the third-party provider.

10. AI-Powered Features

The Service includes features powered by artificial intelligence ("AI Features") provided through third-party AI services (currently Anthropic, PBC). By using AI Features, you acknowledge and agree to the following:

10.1 Available AI Features

AI Features currently include:

  • Photo scanning to extract customer information from handwritten or printed lists
  • Bid description and scope-of-work generation from line item data
  • Customer message drafting for invoice and bid delivery
  • In-app AI business assistant for platform guidance

AI Features may be added, modified, or removed at any time without prior notice.

10.2 Accuracy and Reliability

AI-generated content — including but not limited to extracted customer data from photos, generated bid descriptions, and assistant responses — is provided for convenience and may contain errors, inaccuracies, or omissions. You are solely responsible for reviewing, verifying, and approving all AI-generated content before relying on it or incorporating it into your business records. Conduit makes no representations or warranties regarding the accuracy, completeness, or reliability of AI-generated content.

10.3 Data Sent to AI Providers

When you use AI Features, certain data — including text, images, line items, and other content you provide — is transmitted to third-party AI service providers for processing. This data is sent securely over encrypted connections. You consent to this data transmission by using AI Features. For details about how AI providers handle your data, see our Privacy Policy (Section 2.1).

10.4 Prohibited Uses of AI Features

You agree not to use AI Features to:

  • Generate content that is false, misleading, defamatory, or illegal.
  • Process data you do not have the right to use or share.
  • Circumvent the intended purpose of the AI Features (e.g., using the assistant for purposes unrelated to the Service).
  • Attempt to extract, reverse engineer, or probe the underlying AI models.

10.5 Limitation of Liability for AI Features

Without limiting the general disclaimers and limitations of liability in Sections 13 and 14 of these Terms, Conduit shall not be liable for any damages, losses, or claims arising from your reliance on AI-generated content, including but not limited to incorrect customer data extracted from photos, inaccurate bid descriptions, or erroneous business guidance provided by the AI assistant.

11. Communications and Notifications

11.1 Service Communications

By creating an account, you consent to receive electronic communications from us, including emails and in-app notifications related to your account, billing, service updates, security alerts, and other operational matters. These communications are part of your relationship with us and may not be opted out of while you maintain an active account.

11.2 SMS Notifications

The Service includes an SMS messaging program operated by Conduit for Contractors LLC that allows contractors to send transactional text messages to their customers. By using the SMS features of the Service, you agree to the following terms:

11.2.1 Program Description

The Conduit SMS program sends transactional messages on behalf of contractors to their customers, including: bid/estimate notifications, invoice delivery with payment links, payment confirmations, overdue invoice reminders, appointment reminders, technician en-route notifications, job completion notifications, material usage notifications, and completion receipt delivery. No marketing or promotional messages are sent.

11.2.2 Consent Requirements

You (the business account holder) are solely responsible for obtaining proper consent from your customers before sending any SMS messages through the Service. You must comply with all applicable laws, including the Telephone Consumer Protection Act (TCPA). Conduit is not liable for any claims arising from your use of SMS features without proper consent.

11.2.3 Message Frequency

Message frequency varies based on business activity. Messages are only sent when triggered by specific business actions. There is no fixed recurring message schedule. Automated reminders are limited to 1 appointment reminder per job and up to 3 overdue invoice reminders per invoice.

11.2.4 Opt-Out Instructions

End users (your customers) may opt out of SMS messages at any time. The following keywords are supported:

  • STOP — Reply STOP to any message to immediately opt out of all future SMS messages.
  • HELP — Reply HELP to any message to receive assistance and contact information.
  • START — Reply START to re-opt-in after previously opting out.

Once an end user opts out by replying STOP, no further SMS messages will be sent to that phone number through the Conduit platform.

11.2.5 Message and Data Rates

Message and data rates may apply. Carriers are not liable for delayed or undelivered messages. For questions about SMS messaging through Conduit, contact support@conduitforcontractors.com.

11.2.6 SMS Data Protection

Phone numbers, message content, and opt-in/opt-out data collected through the SMS features are never sold to third parties and are never shared for marketing or advertising purposes. For full details, see our Privacy Policy (Section 3).

12. Cancellation and Termination

12.1 Cancellation by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain full access to the Service until that date. No refunds will be issued for partial billing periods unless required by applicable law or our Refund Policy.

12.2 Termination by Conduit

We may suspend or terminate your access to the Service immediately, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms or any applicable law.
  • Non-payment of subscription fees after reasonable notice.
  • Fraudulent, abusive, or harmful activity.
  • Extended inactivity (accounts with no login for 12 or more months).
  • Actions that threaten the security, integrity, or availability of the Service.
  • A request by law enforcement or a government agency.

12.3 Effect of Termination

Upon termination: (a) your right to access and use the Service ceases immediately; (b) you remain responsible for all charges incurred prior to termination; (c) any data export must be requested within 30 days of termination; (d) after 30 days, we may permanently delete Your Data without further notice; (e) all provisions of these Terms that by their nature should survive termination will survive, including Sections 7.3, 8, 10, 12.3, 13, 14, 15, 16, 17, and 18.

13. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CONDUIT EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
  • WARRANTIES THAT THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.
  • WARRANTIES THAT ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.
  • WARRANTIES REGARDING THE AVAILABILITY, RELIABILITY, OR ACCURACY OF THIRD-PARTY SERVICES.

You acknowledge that the Service is not designed or intended for use in high-risk environments requiring fail-safe performance, such as life support systems, emergency services dispatch, or nuclear facilities. You use the Service at your own risk.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONDUIT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
  • ANY LOSS OF PROFITS, REVENUE, BUSINESS, SAVINGS, GOODWILL, OR DATA.
  • ANY LOSS ARISING FROM PAYMENT PROCESSING, CHARGEBACKS, DISPUTES, OR REFUNDS.
  • ANY LOSS ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA.
  • ANY LOSS ARISING FROM THE CONDUCT OF THIRD PARTIES ON OR RELATED TO THE SERVICE.
  • ANY LOSS ARISING FROM INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SERVICE.

IN NO EVENT SHALL CONDUIT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO CONDUIT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

15. Indemnification

You agree to indemnify, defend, and hold harmless Conduit and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your use or misuse of the Service.
  • Your violation of these Terms.
  • Your violation of any applicable law, regulation, or third-party right.
  • Your Data or any content you submit through the Service.
  • Any dispute between you and your customers, including payment disputes, chargebacks, or service complaints.
  • Your use of Stripe Connect or any other Third-Party Service through the Service.
  • Any claim that Your Data or your use of the Service caused damage to a third party.

16. Dispute Resolution

16.1 Informal Resolution

Before filing a formal legal claim, you agree to contact us at support@conduitforcontractors.com and attempt to resolve the dispute informally for at least 30 days.

16.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in the State of Colorado.

16.3 Class Action Waiver

YOU AND CONDUIT AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States of America, without regard to its conflict of law provisions. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Colorado.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Conduit regarding the Service.

18.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms without our prior written consent. Conduit may assign these Terms without restriction.

18.5 Force Majeure

Conduit shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control.

18.6 Notices

All notices from Conduit to you will be sent to the email address associated with your account. All notices from you to Conduit should be sent to support@conduitforcontractors.com.

19. Changes to These Terms

We may update or modify these Terms from time to time. When we make material changes, we will update the "Last Updated" date, notify you by email, and provide notice through the Service. Material changes will take effect 30 days after notice is provided.
